German software maker SAP AG to buy business software company Sybase Inc. for $65.00 CASH
SAP AG (SAP) and Sybase (SY) confirm SAP's subsidiary, SAP America, has signed a definitive merger agreement to acquire Sybase in all cash tender offer for all of the outstanding shares of Sybase common stock at $65.00 per share. The transaction will be funded from SAP's cash on hand and a EUR2.75 billion loan facility. The Sybase board of directors has unanimously approved the transaction. The transaction is expected to close during the third quarter of 2010 and will be immediately accretive to SAP's earnings per share on a non-IFRS adjusted basis

Standard & Poor's Announces Changes to U.S. Indices
S&P SmallCap 600 constituent Rock-Tenn Co. (RKT) will replace Varian Inc. (VARI) in the S&P MidCap 400 index, and LSB Industries Inc. (LXU) will replace Rock-Tenn in the S&P SmallCap 600 index after the close of trading on a date to be announced. Varian is being acquired by S&P 500 constituent Agilent Technologies Inc. (A) in a deal expected to be completed soon, pending final approvals
